Terms & Conditions
1. Who we are and what these terms cover
The websites idnty.eu and idnty.tech (the “Websites”) are operated by:
LEPATARA d.o.o.Naselje Aleša Kaple 9A
1430 Hrastnik, Slovenia
Registered in the Commercial Register at the Ljubljana District Court
Email: pr@idnty.tech
(“IDNTY®”, “we”, “us”). These Terms & Conditions govern the use of the Websites and set out the general principles for commissions and, once available, purchases of IDNTY® products. Where you are a consumer, nothing in these terms limits the rights you have under the mandatory consumer protection law of your country of residence.
2. Use of the Websites
The Websites present IDNTY® ahead of its market launch. Their content is provided for information only and does not constitute a binding offer. Product concepts, materials, technologies and specifications may change during development. We aim to keep the Websites accurate and available but cannot guarantee uninterrupted access.
You agree not to misuse the Websites — in particular not to send unsolicited advertising through the contact form, attempt to gain unauthorised access, interfere with their operation, or collect content or email addresses by automated means.
3. Intellectual property
IDNTY® is a European Union trade mark registered with the European Union Intellectual Property Office (EUIPO) under No. 019373294 for classes 18 and 25, owned by LEPATARA d.o.o. The IDNTY® name, the IDNTY® logotype, the IDNTY® code (the double helix transforming into a woven textile) and all designs, texts, graphics and technical concepts shown on the Websites are protected by trademark, design and copyright law. Any reproduction, adaptation or commercial use requires our prior written consent. Sharing links to the Websites is welcome.
4. Inquiries and submissions
Sending an inquiry does not create any obligation for either party. Technical information you share with us as a supplier or partner is treated confidentially and used only to evaluate a possible cooperation; where stronger protection is required, we are happy to sign a separate non-disclosure agreement before you disclose it.
We continuously develop our own designs and technologies. Unsolicited ideas or proposals are accepted without any obligation of confidentiality or compensation, unless agreed otherwise in writing.
5. Bespoke and one-of-one commissions
Individual pieces are made on the basis of a written proposal describing the design, materials, price, payment schedule and estimated timeline. The contract is concluded when you accept the proposal in writing and, where agreed, the deposit is received. The accepted proposal takes precedence over these terms.
- Deposit. Materials for individual pieces are sourced and processed specifically for you. Deposits are therefore non-refundable once production has started, unless the proposal states otherwise or we are unable to complete the piece.
- Timelines. Production times are estimates because they depend on rare materials and testing. We will inform you promptly of any significant delay.
- No statutory right of withdrawal. Pieces made to your specifications or clearly personalised are excluded from the 14-day right of withdrawal for distance contracts (Art. 16(c) of Directive 2011/83/EU).
- Fit and alterations. Fittings and adjustments included in the price are listed in the proposal. Further changes requested after approval of the design may be charged separately.
6. Products and orders
Online sales have not yet started. Before they do, we will publish the specific ordering, payment and shipping terms. The following principles will apply:
- Contract. A contract is concluded only when we confirm your order in writing (for example by email). Availability is limited; we may decline orders, in particular for limited releases.
- Prices. Prices for consumers include statutory VAT. Shipping costs, and for deliveries outside the EU any duties and import taxes, are shown before you place the order.
- Delivery and risk. For consumers, the risk of loss or damage passes on delivery.
- Right of withdrawal. Consumers in the EU may withdraw from a distance purchase within 14 days of receiving the goods without giving reasons. Goods must be returned unused, in their original condition and packaging, with all tags and seals intact. Detailed withdrawal instructions and a model withdrawal form will be provided with the shop terms and with each order.
7. Quality and legal guarantee
IDNTY® products are engineered for performance and longevity. Consumers are entitled to the statutory legal guarantee of conformity. Natural wear, damage caused by improper use or care contrary to the care instructions, and alterations made by third parties are not defects. Any additional commercial warranty or repair service we may offer will be described separately and does not affect your statutory rights.
8. Liability
We are liable without limitation for intent and gross negligence, for injury to life, body or health, and under mandatory product liability law. For slight negligence, we are liable only for the breach of essential contractual obligations and limited to the foreseeable damage typical for the contract. In all other respects, our liability is excluded to the extent permitted by law.
9. External links
The Websites may link to websites of third parties. We have no influence on their content and accept no responsibility for it.
10. Governing law and disputes
These terms are governed by the law of the Republic of Slovenia, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers, this choice of law does not deprive you of the protection of mandatory provisions of the law of your country of residence. For business customers, suppliers and partners, the courts competent for the registered office of LEPATARA d.o.o. in Slovenia have exclusive jurisdiction.
We are not obliged and generally not willing to take part in dispute resolution proceedings before a consumer arbitration board, but we are always open to resolving any issue directly with you.
11. Final provisions
We may update these terms for future use of the Websites and for future orders; the version in force at the time of your order or commission applies to it. If any provision is or becomes invalid, the remaining provisions remain in effect.
